Field mutual indemnity and hold harmless deed overview

Field Indemnity Scheme

Capricorn Senegal Limited has established a mutual indemnity and hold harmless scheme in relation to its operations offshore Senegal (the "Field Indemnity Scheme").

The foundation document for the Field Indemnity Scheme is the Field Mutual Indemnity and Hold Harmless Deed. The first contractors have directly signed the Field Mutual Indemnity and Hold Harmless Deed.

All other contractors are now able to join the Field Indemnity Scheme by signing a Deed of Adherence (download a specimen copy here), which has the effect of making them Signatories to the Field Mutual Indemnity and Hold Harmless Deed.

Administrator

Capricorn Senegal Limited has taken on the role of Administrator of the Field Indemnity Scheme.

Who and for how long?

The Field Indemnity Scheme is only entered into between contractors. It is a scheme that Signatories enter into once only and for the duration of Capricorn Senegal Limited’s operations in Senegal (although there are limited rights of withdrawal and termination).

What it means to be a Signatory

By becoming a Signatory to the Field Mutual Indemnity and Hold Harmless Deed, the Signatories agree to apportion liability between themselves and their respective Groups so that each Signatory is responsible for: (i) its own Personnel, Property, Consequential Loss and Pollution; and (ii) the Personnel, Property, Consequential Loss and Pollution of each member of its own Group.

Benefit

The Field Indemnity Scheme addresses the contractual gap that exists between contractors and their respective Groups as a result of the traditional offshore oil and gas industry contracting strategy whereby unless the Operator provides otherwise, or contractors make specific arrangements on a case by case basis, such contractors and their respective Groups may be "third parties" to each other if there is no contractual arrangement between them.

In addition, the Field Indemnity Scheme provides the following benefits:

  1. provides clarity in allocation of the key areas of risk;
  2. reduces time and confrontation negotiating contractual responsibility and indemnity matters;
  3. has the potential for reduced insurance premiums; and
  4. has the potential for reduced instances of dispute and costly litigation.
